These Terms of Use (“Terms”) govern your access to and use of the MX Suite software products and services provided by BGN Veranda (“we”, “us”, “our”). By accessing or using any MX Suite product, including but not limited to MXValidator, Business PlanPilot, MXFraudAnalysis, and MXDataKPI (collectively, the “Services”), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Use of the Services

You may use the Services only in accordance with these Terms and all applicable laws. You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code

  • Circumvent security or access controls

  • Use the Services to process unlawful, harmful, or infringing content

  • Interfere with or disrupt the operation of the Services

  • Misrepresent your identity or impersonate another person

We reserve the right to suspend or terminate access for violations of these Terms.

2. Account Registration

Some Services may require you to create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • Ensuring all information provided is accurate

  • All activity that occurs under your account

You must notify us immediately of any unauthorized access.

3. Intellectual Property

All intellectual property rights in the Services, including software, documentation, branding, and content, are owned by BGN Veranda or its licensors.
You receive a limited, non‑exclusive, non‑transferable license to use the Services for your internal business purposes.

You may not copy, modify, distribute, or create derivative works of the Services.

4. Customer Data

You retain all rights to the data you upload or process using the Services (“Customer Data”).
By using the Services, you grant us a limited license to process Customer Data solely for the purpose of providing the Services.

We do not claim ownership of Customer Data.

5. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

6. Service Availability

We strive to maintain reliable and continuous availability of the Services, but we do not guarantee:

Some Services may integrate with third‑party platforms (e.g., Microsoft 365, Azure, Power BI).
Your use of third‑party services is subject to their respective terms and policies.

We are not responsible for third‑party services.

8. Disclaimers

The Services are provided “as is” without warranties of any kind, whether express or implied, including:

  • Fitness for a particular purpose

  • Merchantability

  • Non‑infringement

  • Accuracy or reliability

You use the Services at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, BGN Veranda is not liable for:

  • Loss of profits

  • Loss of data

  • Business interruption

  • Indirect, incidental, or consequential damages

Our total liability for any claim arising from the Services will not exceed the amount you paid for the Services in the preceding 12 months.

10. Termination

We may suspend or terminate your access to the Services if:

  • You violate these Terms

  • You misuse the Services

  • We discontinue the Services

Upon termination, your right to use the Services ends immediately.

11. Changes to These Terms

We may update these Terms from time to time.
Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
